Terms of Service

These terms set out how Excelize Software Pvt. Ltd provides BIM and design-support services, what we are responsible for, and what we ask of you. Where a signed agreement exists, that agreement takes precedence.

Agreement to These Terms

These Terms of Service govern your use of this website and any BIM, drafting, coordination, or design-support services provided by Excelize Software Pvt. Ltd (“Excelize”, “we”, “us”). By using this website or engaging our services, you agree to these terms.

Where a signed proposal, master services agreement, or purchase order exists between you and Excelize, that document governs the engagement and takes precedence over these terms wherever the two differ.

Our Services

Excelize provides production and support services to architecture, engineering, and construction firms, including 3D BIM modeling, multi-trade coordination and clash detection, shop, fabrication and spool drawings, quantity takeoffs, scan-to-BIM, and design support.

Scope, deliverables, level of development, file formats, and timelines are defined per engagement in the applicable proposal or BIM execution plan.

Your Responsibilities

To deliver on schedule, we rely on you to provide:

  • Source models, drawings, scans, or specifications in a usable format
  • Your templates, naming conventions, and CAD/BIM standards
  • Project-specific requirements, including the BIM execution plan where one applies
  • Timely review and written feedback at agreed milestones

Delays in providing inputs or approvals may shift agreed delivery dates.

Professional Responsibility

Excelize is not the engineer of record, architect of record, or a licensed design professional in any U.S. jurisdiction.

All deliverables are prepared as production support for review, approval, and where applicable, sealing by your licensed professional. Final responsibility for design intent, code compliance, and construction means and methods remains with you.

Fees and Payment

Fees, rates, and billing cycles are set out in the applicable proposal or engagement model. Unless otherwise agreed in writing, invoices are payable within the terms stated on the invoice.

Work performed beyond the agreed scope is quoted and approved separately before it begins.

Intellectual Property

On full payment, deliverables produced specifically for your project become your property, together with any rights required to use them for that project.

Excelize retains ownership of its own templates, scripts, libraries, internal tools, methodologies, and general know-how, including any improvements developed while performing the work. Nothing in an engagement transfers these to you.

Website content, brand marks, and design remain the property of Excelize and may not be reproduced without written permission.

Confidentiality

Project information you share is treated as confidential and used only to perform the engagement. We restrict access to personnel working on your project and require the same obligation of them.

Where a separate non-disclosure agreement is in place, that agreement applies. We do not publish project names, images, or details as case studies or marketing material without your written consent.

Warranties and Disclaimers

We perform services with the skill and care reasonably expected of an experienced BIM production provider, and we correct errors in our deliverables that are reported within the review period stated in the engagement.

Beyond this, the website and its content are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose. Deliverables depend on the accuracy and completeness of the inputs supplied to us.

Limitation of Liability

To the maximum extent permitted by law, Excelize is not liable for indirect, incidental, or consequential losses, including lost profits, lost bids, delay costs, or rework costs arising outside our deliverables.

Our total aggregate liability for any engagement is limited to the fees paid to Excelize for that engagement.

Term and Termination

Either party may terminate an engagement by written notice on the terms set out in the applicable agreement. On termination you remain responsible for fees for work completed and work in progress up to the termination date, and we will hand over completed deliverables once those amounts are settled.

Governing Law

These terms are governed by the laws of India, and the courts of Mumbai, Maharashtra have jurisdiction, unless a signed agreement between you and Excelize provides otherwise.
